LOAN AGREEMENT
For the group exhibition titled Secret Garden, to be held April 23 - May 14, 2026.
Conditions governing loans at Contracommon:
Under the terms of this contract, Contracommon will exercise all reasonable precaution in the safekeeping of your loan (the “Work”) while in our possession and while on view.
1. Reproduction. Unless permission is refused in writing, it is understood that this Work may be reproduced in all media, including television, film and on the Internet, for publicity purposes connected with Contracommon and this exhibition.
2. Insurance and Loss or Damage. Contracommon does not include works of art on view in its exhibition spaces on its insurance policy. Artist agrees that upon installation the Work in its current state is considered undamaged. Contracommon assumes no liability for damages while on site.
3. Delivery and Return. Artist should make advance arrangements for in-person artwork delivery, install, and deinstall with Contracommon at a mutually agreed upon time.
Artwork drop-off dates: April 14th-21st, 2026 by appointment only. Appointments can be made here.
Artwork pickup dates: May 18th-22nd by appointment only (evening and weekend hours will be available)
Works left behind after the pickup window are not guaranteed to be stored by Contracommon. Artist should communicate with Contracommon if there is an issue with the agreed upon pickup time to work out another solution.
4. Sales. All sales of artwork will take place via a Contracommon representative. For this exhibition, all works sold will be held for pickup by the buyer at the end of the show, with the exception of off-the-wall works provided by artists for sale (i.e. packaged reproduction prints provided in multiples, stickers, or apparel). Contracommon will collect contact information for all buyers, to be shared with the artist upon the exhibition’s close. If a buyer cannot pick up the work, the artist is responsible for collecting the work and delivering or shipping to the buyer. For more info, see section 5 (shipping).
4a. Commission. Contracommon will retain 30% commission from sales of artwork. The artist’s portion of 70% of sales will be sent as a lump sum within 14 days of the close of the exhibition/event, or within 14 days of receiving payment information and any accompanying paperwork, whichever is later. Payment can be made via PayPal, direct deposit via our payroll software Gusto, or, in the form of a paper check, hand-delivered to the artist at artwork pickup. If the artist should make over $600 in commissions from the sale of work, they will be required to fill out and return IRS Form 1099-MISC before payment is remitted to them.
4b. Taxes and fees. Contracommon collects and remits all local and state Sales Tax based on the Artist’s total sale price per item. The artist is not responsible for state sales tax on works sold in this exhibition.
5. Shipping. Contracommon will not accept any shipped works for this exhibition, nor will Contracommon ship work upon the exhibition’s close. All work should be hand-delivered and installed, deinstalled and picked up in-person by the artist.
If a buyer cannot pick up the work, the artist is responsible for collecting and packing the work and shipping to the buyer. The buyer will be made aware that Contracommon is not responsible for shipped work in any way, and that they will need to work with the Artist to arrange and pay for shipping independently. It should be noted that Contracommon and staff will not recommend shipping unless directly asked for information by a buyer. If an Artist would like to specify that they will not ship work to a buyer under any circumstances, they may do so in writing at any time before the opening date of the exhibition (April 23rd, 2026).
6. Open Hours. Contracommon will retain Open Hours from 12pm to 6pm each Friday, Saturday and Sunday of the exhibition. Contracommon will provide trained staff for all open gallery hours. Artist is not required to be onsite for open hours. If Contracommon hosts any additional events in conjunction with the exhibition, such as a market or reception, the artist will be made aware and is welcome, though not expected, to attend.
7. Inventory List. Artist will provide a digital or printed Inventory List for all artwork/items on loan to Contracommon, prior to leaving the work on the property.
8. Install. Artist understands that they are responsible for the delivery of their own work. Artist will provide their own hanging hardware, though Contracommon reserves the right to refuse or intervene with any inappropriate hardware or hanging conventions, as appropriate.
Wall hardware should be appropriate for use in drywall and easily accommodate the weight of the works. If the artist intends to hang shelving or work over 5lbs, artist should prepare with appropriately-rated plastic drywall anchors.
Artist represents and warrants that Artist has the right to make this loan and has secured all necessary permissions for Contracommon to show the work. I have read and agree to the conditions outlined above and certify that I am the owner, or the agent of the owner, authorized to agree thereto:
